Job Purpose:
To provide legal support and guidance in all matters related to contracts and corporate law, ensuring compliance with applicable laws and regulations while protecting the company's or client’s legal interests.
Key Responsibilities:
Contract Management:
Draft, review, and negotiate various types of commercial contracts (e.g. service agreements, NDAs, MOUs, supply agreements, licensing, etc.).
Ensure contracts are legally sound, reflect business requirements, and mitigate risks.
Maintain a contracts database and ensure timely renewals or terminations.
Provide legal opinions and advice related to contract disputes or enforcement.
Corporate Advisory:
Assist with company formations, amendments, and restructuring (e.g., mergers, acquisitions, share transfers).
Ensure compliance with local corporate laws and regulations (e.g., UAE Companies Law, Economic Substance Regulations).
Prepare and review corporate documents (e.g., board/shareholder resolutions, POAs, Articles of Association).
Manage relationships with government authorities (e.g., DED, MOHRE, Free Zones).
Regulatory Compliance:
Monitor changes in relevant laws and regulations and advise the company/clients accordingly.
Assist in implementing compliance frameworks and corporate governance best practices.
Legal Risk Assessment:
Identify potential legal risks and propose mitigation strategies.
Conduct legal research and prepare briefing notes on key legal issues.
Stakeholder Support:
Liaise with internal departments (HR, Finance, Procurement) to provide legal guidance.
Support external counsel where necessary and coordinate litigation matters.
Qualifications & Requirements:
Bachelor’s degree in Law (LLB); Master’s degree or professional certification is a plus.
Licensed to practice law (UAE or home country, if applicable).
3–5 years of experience in corporate and contract law, preferably in the UAE or GCC region.
Strong knowledge of UAE legal framework, especially contract and corporate law.
Excellent drafting, negotiation, and communication skills in English and Arabic .
Attention to detail and ability to work under pressure with multiple deadlines.
